RowGo Terms of Service for Your Personal Use:
Welcome to NeoLodge.com, a site owned and operated by RowGo, Inc. (NeoLodge.com, and RowGo, Inc. are referred to as "RowGo" , "we" and/or "us" herein). By using RowGo, any web site in the RowGo Network, or any other RowGo Service, including NeoLodge.com ("RowGo Services" and/or "the Service"), you agree to be bound by the following terms and conditions (the "Terms of Service" "TOS" and/or the "Agreement"). NeoLodge.com may also be referred to as the "web site" or the "Site." The "forums" or the "community" include any place that members are allowed to discuss and interact with each other, including, but not limited to http://www.neolodge.com/forums. You agree that, except as otherwise expressly provided in this Terms of Service, there shall be no third party beneficiaries to this Agreement. BY USING THE SERVICE, YOU AGREE TO THE TERMS OF SERVICE AND ALL RELATED GUIDELINES, POLICIES, ETC.; IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

Privacy Policy; Copyright/Intellectual Property Policy; Additional Terms & Conditions:
In addition to the Terms of Service, you hereby agree to follow and comply with any additional rules, agreements, terms, policies, and/or any other type of agreement or rule provision that may be mentioned on the web site, forums, community, or in any other location on the RowGo Service. No other terms, agreements, policies, etc. unless RowGo, Inc. explicitly notes such in writing, may void any section of the Terms of Service. The Privacy Policy for the Service can be accessed at http://neolodge.com/privacy.html. The Copyright/Intellectual Property Policy can be accessed at http://neolodge.com/copyright.html. The rules for the forums can be accessed by visiting the forums and clicking ‘Forum Rules' on the upper navigation bar. RowGo reserves the rights to modify the forum rules, and/or move them to another location.

Under Age Acceptance; COPPA Acceptance:
If you cannot be bound to a legal agreement, please ask your legal parent or guardian to review the Agreement. By registering, it is assumed that you have a parent or guardian's permission and that they accept legal responsibility for you. In compliance with COPPA, it is assumed that children under the age of the 13 have the permission of a legal parent or guardian before registering at and using the Service. The legal parent or guardian must be 18 (eighteen) years of age or older to be bound to the Agreement. If the legal parent or guardian is not 18 (eighteen) years of age or older, it is assumed that the responsible party of the legal parent or guardian agrees to and accepts the terms of the Agreement. RowGo is not responsible if the minor fails to ask and subsequently get approval from a legal parent or guardian. Parents or guardians wishing to revoke their child's access to RowGo can contact legal[at]rowgo.net (replace [at] with @) for information on how to have their child's account terminated.

Description of Service:
RowGo provides users with access to help, cheats, guides, graphics, interactive programs, online communities, etc. that primarily relate to the online game, NeoPets.com. Content and features on the Service are not limited to NeoPets related content and features; the Service reserves the right to place any content it deems acceptable. You also understand and agree that the Service may include advertisements and that these advertisements are necessary for RowGo to provide the Service. You also understand and agree that the Service may include certain communications from RowGo, such as service announcements, administrative messages and the any newsletters or similar material, and that these communications are considered part of RowGo membership and you will not be able to opt out of receiving them. Unless explicitly stated otherwise, any new features that augment or enhance the current Service, including the release of new RowGo properties, shall be subject to the Terms of Service. As a user, you are responsible for obtaining access to the Service and that access may involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the Service. RowGo is not responsible for any damage or harm that may be caused to such equipment or third party services.

Third Party Web Sites Linked to by RowGo:
Any third party links displayed or linked to anywhere on RowGo Services are third party web sites, which RowGo has no control over nor is responsible for. We try to ensure that links are not objectionable, inappropriate, or offensive, but RowGo cannot be responsible for objectionable, inappropriate, or offensive content on third party web sites.

Personal Use Only:
RowGo Services are made available for your personal, non-commercial use only. You may not use the RowGo Services to sell a product or service, or to increase traffic to your Web site for commercial reasons, such as advertising sales, or selling of products. If you wish to use RowGo Services for commercial purposes please contact our business sales department. Some RowGo Services may be used for commercial purposes, but you will be required to enter into an additional agreement. In addition, use of the Service or any RowGo Service is void where prohibited.

Member Accounts; Passwords and Security:
You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify RowGo of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. RowGo cannot and will not be liable for any loss or damage arising from your failure to comply with this section, Member Accounts; Password and Security.

Member Conduct:
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials (collectively "Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not RowGo, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Service. RowGo does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will RowGo be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.
In addition to other sections of this agreement, you agree not to use the Service or any other RowGo Service to:

  • Upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
  • Harm minors in any way;
  • Impersonate any person or entity, including, but not limited to, a RowGo official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;
  • Upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  • Upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
  • Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas (forums or sections designated for advertising) that are designated for such purpose.
  • Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • Disrupt the normal flow of dialogue, cause a screen to "scroll" faster than other users of the Service are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;
  • Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
  • Threaten to and/or attempt to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service or to any RowGo server, or to any of the services offered on or through the Site, by hacking, password "mining" or any other illegitimate means.
  • Probe, scan or test the vulnerability of the Site or any network connected to the Service, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Site, or any other customer, client, affiliate, employee, etc. of RowGo, including any RowGo account not owned by you, to its source, or exploit the Service or any service or information made available or offered by or through the Service, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Service.
  • Take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Service or RowGo's systems or networks, or any systems or networks connected to the Service or to RowGo.
  • Use any device, software or routine to interfere or attempt to interfere with the proper working of the Service or any transaction being conducted on the Site, or with any other person's use of the Service.
  • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to RowGo on or through the Service or any other service offered on or through the Service. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.
  • Intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
  • Provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
  • "Stalk" or otherwise harass another; and/or collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs a through and above.

You acknowledge that RowGo may or may not pre-screen Content, but that RowGo and its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or move any Content that is available via the Service. Without limiting the foregoing, RowGo and its designees shall have the right to remove any Content that violates the Terms of Service or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by RowGo or submitted to RowGo, including without limitation information in RowGo Community, and in all other parts of the Service.

You acknowledge, consent and agree that RowGo may access, preserve, and disclose your account information and Content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms of Service; (c) respond to claims that any Content violates the rights of third-parties; (d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of RowGo, its users and the public.

Content Submitted or Made Available for Inclusion of The Service; Submissions:
RowGo does not claim ownership of Content you submit or make available for inclusion on the Service. However, with respect to Content you submit or make available for inclusion on publicly accessible areas of the Service, you grant RowGo the following world-wide, royalty free and non-exclusive license(s), as applicable:

  • With respect to Content you submit or make available for inclusion on publicly accessible areas of the forums, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on the Service solely for the purposes of providing and promoting the forum members with such Content. This license exists only for as long as you elect to continue to include such Content on the Service and will terminate at the time you remove or RowGo removes such Content from the Service.
  • With respect to guides, screenshots, text, photos, graphics, audio, video, etc. that you submit to other places besides the forums, you grant RowGo exclusive rights over such Content. By submitting such Content, you agree that the Content is yours to distribute and you have the proper licenses and/or permission to do so. You agree that the Content may not be submitted elsewhere, and that RowGo maintains exclusive intellectual property rights over such Content. By submitting such content, you grant RowGo the license to use, distribute, reproduce, modify, adapt, transfer, publicly perform and publicly display (in part or in whole) such Content on the Service for any reason it deems necessary. This license is permanent and does not terminate until RowGo decides to do so.

"Publicly accessible" areas of the Service are those areas of the Service that are intended by RowGo to be available to the general public. By way of example, publicly accessible areas of the Service would include forums, any public message boards, areas for advertisement, or the main site. However, publicly accessible areas of the Service would not include portions of the Service that are limited to members, RowGo services intended for private communication such as the private message system at the forums or any other form of inner-site communication, or areas off of the RowGo network of properties such as portions of World Wide Web sites that are accessible through via hypertext or other links but are not hosted or served by RowGo.

For materials you post or otherwise provide to RowGo related to the Service (a "Submission"), you grant RowGo permission to (1) use, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, translate and reformat your Submission, each in connection with the RowGo Services, and (2) sublicense these rights, to the maximum extent permitted by applicable law. RowGo will not pay you for your Submission. RowGo may remove your Submission at any time. For each Submission, you represent that you have all rights necessary for you to make the grants in this section.

Practices Regarding Use and Storage:
You acknowledge that RowGo may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that messages, the maximum amount of storage messages, note space, avatar or signature uploads, forum postings or other uploaded Content will be retained by the Service, the maximum number of messages that may be sent from or received by an account on the Service, the maximum size of any message or post that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on RowGo's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that RowGo has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that RowGo reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that RowGo! reserves the right to modify these general practices and limits from time to time.

Indemnity:
You agree to indemnify and hold RowGo, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the Terms of Service, or your violation of any rights of another.

No Resale of Service:
You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service (including your RowGo username/account), use of the Service, or access to the Service. All RowGo accounts, usernames, access, permissions, etc. is non-transferable unless otherwise specifically mentioned. The sale, reproduction, duplication, copying, trading, reselling, or exploiting of portion of the Service (including your RowGo username/account) will result in immediate account termination as well as legal action as RowGo sees fit.

No Unlawful or Harmful Use of the RowGo Services:
You will not use the RowGo Services in any way that is unlawful, or harms RowGo, its affiliates, resellers, its employees, officers, distributors, service providers and/or suppliers (each, a "RowGo Party" and collectively, the "RowGo Parties") or any customer of a RowGo Party, as determined in RowGo's sole discretion. RowGo may tell you about certain specific harmful uses in a code of conduct or other notices available through a RowGo Service, but has no obligation to do so. You may not use the RowGo Services in any way that breaches any code of conduct, policy or other notice applicable to the RowGo Services. Without limiting the generality of this section, you may not use the RowGo Services in any manner that could damage, disable, overburden, or impair any RowGo Service (or the network(s) connected to any RowGo Service) or interfere with any other party's use and enjoyment of the RowGo Services.

Communications Monitoring:
To the maximum extent permitted by applicable law, RowGo may monitor your e-mail, personal messages, inner-site communication, or other electronic communications and may disclose such information in the event it has a good faith reason to believe it is necessary for purposes of ensuring your compliance with this Agreement, and protecting the rights, property, and interests of the RowGo Parties or any customer of a RowGo Party.

Information Available on RowGo Services:
RowGo and its suppliers do not warrant or guarantee the accuracy or timeliness of any information available from the RowGo Services including stock quotes, even if such information appears in any e-mail, pager, cell phone or other alerts available through the RowGo Services. RowGo and its suppliers do not authorize the use of information available from the RowGo Services including stock quotes or other financial information, for any purpose other than your personal use, and prohibit to the maximum extent allowable the resale, redistribution, and use of this information for commercial purposes. RowGo is not a broker/dealer or registered investment advisor under United States federal securities law or securities laws of other jurisdictions, and does not advise individuals as to the advisability of investing in, purchasing or selling securities or other financial products or services. Nothing contained in the RowGo Services constitute an offer or solicitation to buy or sell any security. RowGo does not endorse or recommend any particular product or service, including financial products or services. Nothing contained in the RowGo Services is intended to constitute professional advice, including but not limited to, investment, medical, or tax advice.

Spam is Prohibited; Spam Filtering Technology:
Without limiting the generality of the above section (No Unlawful or Harmful Use of the RowGo Services), you will not use the RowGo Services to transmit, either directly or indirectly, any unsolicited bulk e-mail or unsolicited commercial e-mail. You will not use the RowGo Services in any way to any such communications or to gather information to send such communications. RowGo may use filtering technology or other measures in its efforts to stop unsolicited bulk e-mail and unsolicited commercial e-mail, and if your use of RowGo Services includes e-mail related services, then such filtering technology or other measures may block, either temporarily or permanently, some e-mail sent to you through the RowGo Services even if such e-mail is not spam.

RowGo Makes No Warranty:
ROWGO PROVIDES THE ROWGO SERVICES "AS IS," "WITH ALL FAULTS" AND "AS AVAILABLE," AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ROWGO PARTIES MAKE NO REPRESENTATIONS, WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED. THE ROWGO PARTIES DISCLAIM ANY AND ALL WARRANTIES OR CONDITIONS, EXPRESS, STATUTORY AND IMPLIED, INCLUDING WITHOUT LIMITATION (1) WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY, TITLE, QUIET ENJOYMENT, NO ENCUMBRANCES, NO LIENS AND NON-INFRINGEMENT, (2) WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF DEALING OR USAGE OF TRADE, AND (3) WARRANTIES OR CONDITIONS THAT ACCESS TO OR USE OF THE ROWGO SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. THERE ARE NO WARRANTIES THAT EXTEND BEYOND THE FACE OF THIS AGREEMENT.

Liability Limitation; Your Exclusive Remedy:
IN NO EVENT WILL ANY ROWGO PARTY BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, OR RESULTING FROM THIS AGREEMENT OR YOUR USE OF THE ROWGO SERVICES, EVEN IF SUCH ROWGO PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE EXCLUSION OF DAMAGES UNDER SECTION 10 IS INDEPENDENT OF YOUR EXCLUSIVE REMEDY AND SURVIVES IN THE EVENT SUCH REMEDY FAILS OF ITS ESSENTIAL PURPOSE OR IS OTHERWISE DEEMED UNENFORCEABLE. THESE LIMITATIONS AND EXCLUSIONS APPLY WITHOUT REGARD TO WHETHER THE DAMAGES ARISE FROM (1) BREACH OF CONTRACT, (2) BREACH OF WARRANTY, (3) NEGLIGENCE, OR (4) ANY OTHER CAUSE OF ACTION, TO THE EXTENT SUCH EXCLUSION AND LIMITATIONS ARE NOT PROHIBITED BY APPLICABLE LAW. IF YOU ARE DISSATISFIED WITH THE ROWGO SERVICES, YOU DO NOT AGREE WITH ANY PART OF THIS AGREEMENT, OR YOU HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST ANY ROWGO PARTY WITH RESPECT TO THIS AGREEMENT OR THE ROWGO SERVICES, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE ROWGO SERVICES.

Changes to RowGo Services; Additional Limited Liability:
THE ROWGO PARTIES MAY CHANGE THE ROWGO SERVICES OR DELETE FEATURES IN ANY WAY, AT ANY TIME AND FOR ANY REASON. As you use the RowGo Services, you should expect to receive, access or use information, materials, graphics, software, data and content (collectively, "Content") originated by RowGo and persons other than RowGo (any such person is referred to as a "Third Party"). WITHOUT LIMITING THE GENERALITY OF SECTIONS 9 AND 10, YOU ACKNOWLEDGE AND AGREE THAT THE ROWGO PARTIES ARE NOT RESPONSIBLE OR LIABLE FOR (1) ANY CONTENT, INCLUDING WITHOUT LIMITATION, ANY INFRINGING, INACCURATE, OBSCENE, INDECENT, THREATENING, OFFENSIVE, DEFAMATORY, TORTIOUS, OR ILLEGAL CONTENT, OR (2) ANY THIRD PARTY CONDUCT, TRANSMISSIONS OR DATA. IN ADDITION, WITHOUT LIMITING THE GENERALITY OF SECTIONS 9 AND 10, YOU ACKNOWLEDGE AND AGREE THAT ROWGO IS NOT RESPONSIBLE OR LIABLE FOR (1) ANY VIRUSES OR OTHER DISABLING FEATURES THAT AFFECT YOUR ACCESS TO OR USE OF THE ROWGO SERVICES, (2) ANY INCOMPATIBILITY BETWEEN THE ROWGO SERVICES AND OTHER WEB SITES, SERVICES, SOFTWARE AND HARDWARE, (3) ANY DELAYS OR FAILURES YOU MAY EXPERIENCE IN INITIATING, CONDUCTING OR COMPLETING ANY TRANSMISSIONS OR TRANSACTIONS IN CONNECTION WITH THE ROWGO SERVICES IN AN ACCURATE OR TIMELY MANNER, OR (4) ANY DAMAGES OR COSTS OF ANY TYPE ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF ANY SERVICES AVAILABLE FROM THIRD PARTIES THOUGH LINKS CONTAINED ON THE ROWGO SERVICES. THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN SECTIONS 9, 10 AND 11 OF THIS AGREEMENT APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND ARE NOT INTENDED TO DEPRIVE YOU OF ANY MANDATORY PROTECTIONS PROVIDED TO YOU UNDER APPLICABLE LAW.

None of the items contained within this section, NeoLodge.com Forums Related will void any other part of the Agreement, or any other policy, set of guidelines, agreements, etc. posted or mentioned within this Agreement.

Please remember that RowGo is not responsible for any messages posted. RowGo does not vouch for or warrant the accuracy, completeness or usefulness of any message, and are not responsible for the contents of any message. The messages express the views of the author of the message, not necessarily the views of RowGo, its employees, its affiliates, its partners, etc.. Any user who feels that a posted message is objectionable is encouraged to contact us immediately by email, inner-site communications, the helpdesk, or any other designated customer service methods. RowGo has the ability to remove objectionable messages and RowGo will make every effort to do so, within a reasonable time frame, if RowGo determines that removal is necessary. You agree, through your use of the NeoLodge.com Forums, that you will not use this bulletin board to post any material which is knowingly false and/or defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, profane, sexually oriented, threatening, invasive of a person's privacy, or that otherwise violates any law.

NeoLodge.com, RowGo, its partners, its affiliates, its management, etc. is not responsible for any unlawful, unethical, etc. actions carried out by its users or staff on or off the sites or forum.

NeoLodge.com reserves the right to whatever it deems necessary or appropriate involving the web site, the forums, or any related material, or Service. In addition, in any case, and for any reason the NeoLodge.com Administration, Staff, Management, etc. may do whatever it deems necessary to benefit NeoLodge.com and/or its members/users, with or without, any prior notice, or consent. Choice of Law and Location for Resolving Disputes:
If this Agreement is with RowGo, Inc., claims for enforcement, breach or violation of duties or rights under this Agreement will be adjudicated under the laws of the State of New Jersey, without reference to conflict of laws principles. If this Agreement is with a RowGo affiliate, claims for enforcement, breach or violation of duties or rights under this Agreement will be adjudicated under the laws of the place of incorporation for such RowGo affiliate, without reference to conflict of laws principles. All other claims, including, without limitation, claims under or for violation of consumer protection laws, unfair competition laws, and in tort, will be adjudicated under the laws of your state of residence in the United States, or, if you reside outside the United States, under the laws of the country to which the subject RowGo Services are directed. If this Agreement is with RowGo, Inc., you hereby irrevocably consent to the exclusive jurisdiction and venue of state or federal courts in Monmouth County, New Jersey , United States of America in all disputes arising out of or relating to the use of the RowGo Services. If this Agreement is with a RowGo affiliate, you hereby consent to the exclusive jurisdiction and venue of the courts located in the place of incorporation for such RowGo affiliate in all disputes arising out of or relating to the use of the RowGo Services. You further agree and are aware of the fact that you have no say or control of the choice of law and location for resolving disputes that may occur.

Special Admonitions for International Use:
Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.

Interpreting This Agreement; Assignment:
If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of this Agreement will continue in effect. RowGo may assign this Agreement, in whole or in part, at any time with or without notice to you. You may not assign this Agreement, or assign, transfer or sublicense your rights, if any, in the RowGo Services. Except as expressly stated herein, this Agreement constitutes the entire agreement between you and RowGo with respect to the RowGo Services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and RowGo with respect to the RowGo Services. The section titles in the Agreement are solely used for the convenience of the parties and have no legal or contractual significance.

You Have Limited Time to Bring Your Claim:
YOU AND ROWGO AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE ROWGO WEB SITES MUST COMMENCE WITHIN SIX (6) MONTHS AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Violation of the Agreement; Access Restriction; Account Termination:
RowGo may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Service, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) RowGo's rights or property, or the rights or property of visitors to or users of the Service, including RowGo's clients, customers, affiliates, visitors, etc. RowGo reserves the right at all times to disclose any information that RowGo deems necessary to comply with any applicable law, regulation, legal process or governmental request. RowGo also may disclose your information when RowGo determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

You acknowledge and agree that RowGo may preserve any transmittal or communication by you with RowGo through the Service or any other service offered on or through the Service, and may also disclose such data if required to do so by law or RowGo determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce the Terms of Service, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of RowGo, its employees, users of or visitors to the Service, and the public.

You agree that RowGo may, in its sole discretion and without prior notice, terminate your access to the Service and/or block your future access to the Service if we determine that you have violated the Terms of Service or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of the Terms of Service will constitute an unlawful and unfair business practice, and will cause irreparable harm to RowGo, for which monetary damages would be inadequate, and you consent to RowGo obtaining any injunctive or equitable relief that RowGo deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies RowGo may have at law or in equity.

You agree that RowGo may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Service or any other service offered on or through the Service, (4) acts against the Terms of Service, or other guidelines, policies, etc., or (5) unexpected technical issues or problems.

Upon such termination or suspension, your right to use the RowGo Services will immediately cease. Upon such termination, further use of the RowGo Service is strictly forbidden. If you create additional account(s), username(s), etc. to gain access to a RowGo Service after termination or suspension of your account, you agree that that action is considered harassment, and that you are at risk to be prosecuted to the fullest extent allowed by law, and will be held personally and exclusively responsible for all legal fees, time put in by RowGo employees at an hourly rate of $95.00 USD (ninety-five United States dollars and zero cents), and any other expenses or damages encountered by RowGo or a related party. UPON SUCH TERMINATION OR SUSPENSION, ANY INFORMATION YOU HAVE STORED ON THE ROWGO SERVICES MAY NOT BE RETRIEVED LATER.

If RowGo does take any legal action against you as a result of your violation of the Terms of Service, RowGo will be entitled to recover from you, and you agree to pay, all reasonable legal fees and costs of such action, in addition to any other relief granted to RowGo. You agree that RowGo will not be liable to you or to any third party for termination of your access to the Service as a result of any violation of the Terms of Service.

Our legal department will be more than happy to answer any questions, and reply to any comments or concerns. Any answers to questions, comments, concerns, etc. by a RowGo employee do not void any policies mentioned within the Agreement. If the answer to the question and the Terms of Service are conflicting, the Terms of Service remains the legal answer.

Modifications to Service:
RowGo reserves the right to at anytime, without consent or notice terminate, modify, suspend, view, or otherwise alter any RowGo Service, any account on a RowGo Service. RowGo expects its users to have and in our opinion, uphold common decency and ethics, as well as follow United States Law. If, in our opinion your account, web site, or service is not commonly decent, unethical, or violates any United States law we reserve the right to terminate, suspend, or otherwise modify it. You agree that RowGo shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.
